Pursuant to and for the purposes of the provisions of Article 194, paragraphs 4 and 5, in conjunction with Article 251 of the Commercial Code of Mozambique, Hollard Moçambique Companhia de Seguros, SA hereby gives notice that the registration of the Merger Project by incorporation with Hollard Vida Companhia de Seguros, SA and Global Alliance Seguros, SA has been completed, with registered offices, respectively, at Avenida Sociedade de Geografia, No. 269, Edifício Hollard, and at Avenida Marginal, Parcela No. 141-C, both in the City of Maputo.
Furthermore, notice is given that the Merger Project, together with all documentation attached thereto, is available for consultation at the registered offices of each of the participating companies during normal business hours, and that the respective shareholders and corporate creditors of each company are entitled to consult it.
Notice is likewise given that any corporate creditor of the companies participating in this merger operation has the right to object to the merger, under the terms and conditions set out in the aforementioned Article 196 of the Commercial Code.
It should be noted that, pursuant to Article 194, paragraph 3 of the Commercial Code, the general meetings of each of the participating companies have been convened for the following dates:
- Hollard Moçambique Companhia de Seguros: 10 August 2026;
- Hollard Vida Companhia de Seguros: 10 August 2026;
- Global Alliance Seguros: 10 August 2026.
